In Xero’s sole discretion, Xero will hold one random drawing amongst eligible entries (each, a “Drawing”) for the AICPA Engage 2022 (the “Event”) following the end of the Term (defined below). By participating in a Drawing, you agree to these Official Rules (“Official Rules”). Xero, Inc., with offices at 1615 Platte Street, Fourth Floor, Denver, CO 80202 (“Xero”), is the sponsor of each Drawing.

ELIGIBILITY: Each Drawing is open only to individuals who: (a) are legal residents of the fifty (50) United States and the District of Columbia, excluding residents of Puerto Rico and where prohibited by law; (b) are 18 years of age (or the applicable legal age of majority) or older as of the date of the applicable Drawing and (c) are physically in attendance at the applicable Event. Employees of Xero or any of its affiliates, and their immediate family members are not eligible to participate in any Drawing.

HOW TO ENTER (IN PERSON ENTRY): Provide your business card with a valid email address for you to Xero in the specified location at Xero’s booth at the Event prior to the applicable Drawing. Limit one (1) entry per person. The Drawing will be held at: 12:00 PM PST Thursday, June 9th, 2022.

TERM: The Contest is open from 4:00 PM PST Monday, June 6th, 2022 until 11:59 AM PST on Thursday, June 9th, 2022 (“Term”). Xero may, at its sole discretion, extend the Term.

DETERMINATION OF WINNERS: One (1) Prize winner will be selected in a random drawing from all eligible entries. The Prize winner will be announced via email to the email address contained on the business card provided by the Prize winner within one (1) business day of the applicable Drawing. The Prize winner will be advised as to how the Prize will be made available to them.

PRIZE: The prize is: one (1) $300 Gift card to Hotels.com (retail value of $300) & one (1) Xerocon New Orleans 2022 ticket (retail value of approximately $499) (“Prize”). No Prize may be assigned, transferred, or changed, except as authorized in advance and in writing by Xero in its sole discretion. The Prize is not redeemable for cash. Receipt of a Prize is contingent upon the winner’s full compliance with these Official Rules. To receive a Prize, a Winner will be required to reply to Xero’s message, confirming their email address within ten (10) days from the date on which Xero first notifies them by email. If the Winner cannot be contacted, or does not respond within ten (10) days of notification, the Winner may be disqualified and will forfeit their Prize, and an alternate Winner may, in Xero’s sole discretion, be selected from the remaining eligible entries. Xero may publish or make available details of the Drawing, including the name and region of the Prize winners.

If requested by Xero, a Prize winner will be required to complete and return an affidavit of eligibility and/or a liability/publicity release within ten (10) days of such request. Winner agrees that if they fail to provide proof of identity, refuse to provide the required affidavit (if any), refuse to complete and provide any requested tax forms (including, without limitation, an IRS W-9 form), if any, a liability/publicity release, if any, is found to have violated these Official Rules, or otherwise does not meet the eligibility criteria in these Official Rules, the applicable Prize will be forfeited. The odds of winning depend on the number of eligible entries received.

PUBLICITY: Except where prohibited, by accepting a Prize, Prize recipients agree that Xero and any Xero affiliate may, without any limitation or further compensation or notice, use your name, voice and/or likeness in any and all media, worldwide, for the purpose of advertising and promoting Xero and its products and services, the Drawing, or any other promotion or contest sponsored by Xero.

DISPUTE RESOLUTION; CLASS ACTION WAIVER; WAIVER OF JURY TRIAL: By participating in a drawing, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules are governed by and construed exclusively in accordance with the laws of the State of Colorado without giving effect to any principles of conflicts of law of any jurisdiction. You agree that any action at law or in equity arising out of or relating to a Drawing, or awarding of the Prize, shall be filed only in the state or federal courts located in City and County of Denver in the State of Colorado, and you hereby irrevocably consent and submit to the exclusive jurisdiction of such courts for the purposes of litigating any such action. FURTHERMORE, ENTRANTS EACH AGREE THAT IN CONNECTION WITH ANY DRAWING OR THESE OFFICIAL RULES: (A) ANY AND ALL DISPUTES SHALL BE BROUGHT IN ENTRANT'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, AND (B) ENTRANT WAIVES THE RIGHT TO A TRIAL BY JURY.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY: TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, XERO AND ITS AFFILIATES DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. UNDER NO CIRCUMSTANCES WILL XERO, ANY OF ITS AFFILIATES, OR ANY EVENT SPONSOR BE LIABLE FOR, AND YOU WAIVE ANY AND ALL RIGHTS TO CLAIM DAMAGES OF ANY KIND ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, A DRAWING, OR THE AWARDING OF A PRIZE, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF XERO AND ITS AFFILIATES IN CONNECTION WITH THESE OFFICIAL RULES AND ALL DRAWINGS SHALL BE COLLECTIVELY LIMITED TO USD $100.

NO AFFILIATION WITH Hotels.com: YOU UNDERSTAND AND AGREE THAT: (I) THE PRIZE ARE PROVIDED SOLELY BY XERO AND THAT DRAWINGS ARE IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH Hotels.com OR ANY Hotels.com AFFILIATE; AND (II) TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, YOU WAIVE ANY AND ALL RIGHTS TO CLAIM DAMAGES OF ANY KIND AGAINST Hotels.com OR ANY OF ITS AFFILIATES ARISING OUT OF OR IN ANY WAY CONNECTED WITH A DRAWING, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, AND ANY OTHER DAMAGES.

REPRESENTATIONS AND WARRANTIES OF ENTRANT/INDEMNIFICATION: By participating in a Drawing, you agree to indemnify and hold Xero and its affiliates harmless from and against any and all claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of your warranties, representations or agreements hereunder, and your acceptance of a Prize if you are selected as a winner.

PRIVACY: By entering the Drawing, you agree to our use of your personal information and any data collected subject to the terms of Xero’s Privacy Notice (currently available at https://www.xero.com/us/about/legal/privacy/ and as may be updated by Xero in its sole discretion from time to time).

XERO’S RIGHT TO MODIFY, SUSPEND OR TERMINATE: If Xero is prevented from holding a Drawing as a result of any event beyond its reasonable control, then Xero shall have the right in its sole discretion to reschedule or cancel the Drawing.

GENERAL PROVISIONS: Xero reserves the right in its sole discretion to disqualify any individual who Xero, in its sole discretion, determines has interfered with the entry process or the operation of the Drawing, acted in violation of these Official Rules, submitted responses dishonestly or inaccurately, or who has acted in an unsportsmanlike or disruptive manner. Xero’s failure to enforce any term of these Official Rules, or any right or remedy, shall not constitute a waiver of that or of any other provision, right, or remedy. Xero’s rights and remedies under these Official Rules are cumulative and are without prejudice to any other rights and remedies of Xero or any of its affiliates under contract, at law, or in equity.
