Better Together with Xero Competition

OFFICIAL RULES No purchase or payment necessary to enter or win. A purchase or payment will not affect your chances of winning a prize. You have not yet won. The Competition is void where prohibited or restricted by law.

Contest. This random drawing amongst eligible entries (Contest) is conducted by Xero, Inc., with offices at 1615 Platte Street, Fourth Floor, Denver, CO 80202 (“Xero”). By entering the Contest, an entrant (Entrant, you or your) agrees to be bound by these Terms and Conditions (Terms).

Term. The Contest is open from 8am PST, March 6 2023, until 5pm PT, April 21 2023 (Contest Period). Xero may, in its sole discretion, extend or modify the Contest Period.

Eligibility. In order to be eligible to enter the Contest you must be: (a) a Xero partner; (b) a legal resident of the fifty (50) United States and the District of Columbia, excluding residents of Puerto Rico and where prohibited by law; and (c) 18 years of age (or the applicable legal age of majority) or older as of the date of the Contest (Eligible Entrant). Entrants must have access to the public internet and a Linkedin account in order to enter the Contest. Employees of Xero or any of its affiliates, and their immediate family members are not eligible to participate in the Contest.

Entry. There are two methods of entry, both of which are online. An Eligible Entrant must complete one of the following steps during the Competition Period:

1. Enter via LinkedIn Post. To enter, you must make a post on your LinkedIn Personal Page (member profile) featuring a photo of your Xero gift box, tagging Xero and including the hashtag #BetterTogetherwithXero.
2. Enter via Email. To enter, you must email socialmedia@xero.com with a photo of your Xero gift box, and stating that you wish to be entered into the Contest (the effective time and date for an email entry in order to be eligible is the date and time of receipt of the email by Xero).

One entry per Eligible Entrant. Duplicate entries and entries that do not conform to any condition of the Terms will be void. Xero will determine in its sole discretion what constitutes a valid entry. The odds of winning a prize depends on the number of entries received. The drawing will be held at or around May 1, 2023.

Determination of Winners. One (1) prize winner will be selected in a random drawing from all eligible entries (Winner). The Winner will be announced by email via Winner’s Xero account registered email. The Winner will be advised as to how the Prize will be made available to them.

Prize Claim Steps. To receive a Prize, Winner will be required to (a) within seven (7) days of email notification, reply to Xero via email, confirming the Winner’s full mailing address and phone number, and providing consent to Xero using your name, place of residence, business and statements for any publicity associated with the Competition or any other promotion or competition sponsored by Xero; and (b) sign and return an Affidavit of Eligibility, Liability Release (or similar), Publicity Release (where legal), and any other legal or tax documentation provided by Xero (together with the Prize Claim Steps). If a Winner cannot be contacted or fails to complete the Prize Claims Steps within seven (7) days from the date on which Xero first notifies them by email, the Winner may be disqualified and will forfeit their Prize, and an alternate Winner may be selected by Xero in its sole discretion.

Xero’s decisions on all matters relating to this Contest (including but not limited to eligibility of Entrants and Winners, the awarding of the Prize and the operation of the Contest) will be final and binding, and no correspondence will be entered into regarding these matters. Xero reserves the right, in its sole discretion, to cancel, modify or suspend the Contest if any factors impair the integrity of the proper functioning of the Contest, or if Xero is prevented from awarding the Prize or continuing the Contest due to any event beyond its control.

Dispute Resolution; Class Action Waiver; Waiver of Jury Trial. You agree that in connection with the Contest or these Terms: (a) any and all disputes shall be brought in Entrant's individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and (b) Entrant waives the right to a trial by jury.

Liability. To the extent permitted by law, Xero, its affiliates, and each of their respective directors, officers, employees, representatives, and agents (the Representatives,) has no liability to you (including liability for direct, indirect or consequential loss or damage) in connection with the Contest, your participation in the Contest, or acceptance, possession or use or misuse of the Prize. Without limitation, each Entrant agrees to fully indemnify Representatives from any and all claims by third parties relating to the Competition. Notwithstanding anything to the contrary, the aggregate liability of Xero and its affiliates in connection with these Terms and Contest will not exceed USD $100.

Disclaimer of Warranties and Representations. Xero and its affiliates disclaim any and all warranties, express or implied. Xero, its affiliates, and each of their respective Representatives are not responsible for any loss, damages or cause of action in relation to (a) any technical errors or failures of any kind; (b) alteration, destruction or unauthorized human access to entries; (c) failure of any electronic mail entry to be received by Xero on account of any technical problems; or (d) any other errors or problems in connection with the Competition, including, without limitation, errors that may occur in the administration of the Competition.

No Affiliation with Visa. This Contest is in no way sponsored, endorsed or associated with Visa. All related Visa logos and are trademarks of Visa or its affiliates.

Privacy. By entering the Contest, you agree to our use of your personal information and any data collected subject to the terms of Xero’s Privacy Notice (currently available at https://www.xero.com/us/about/legal/privacy/ and as may be updated by Xero in its sole discretion from time to time).

General Provisions. If there’s any part or provision of these Terms that is declared illegal or unenforceable by a court of competent jurisdiction, then the remainder of these Terms shall remain in full force and effect.
