Official Rules Xero PGM Webinar Drawing

In Xero’s sole discretion, Xero will hold one random drawing amongst eligible entries (the “Drawing”) following the end of the Term (defined below). By participating in a Drawing, you agree to these Official Rules (“Official Rules”). Xero, Inc., with offices at 1615 Platte Street, Fourth Floor, Denver, CO 80202 (“Xero”), is the sponsor of the Drawing.

ELIGIBILITY: Each Drawing is open only to individuals who: (a) are legal residents of the fifty (50) United States and the District of Columbia, excluding residents of Puerto Rico and where prohibited by law; (b) are 18 years of age (or the applicable legal age of majority) or older as of the date of the Drawing; (c) are an accountant, bookkeeper or financial advisor who has an active, signed partner agreement with Xero with a partner status below Bronze level. Employees of Xero or any of its affiliates, and their immediate family members are not eligible to participate in any Drawing.

TERM: The Contest is open from June 16 at 11am MT until July 7 at 12pm MT (“Term”). Xero may, at its sole discretion, extend the Term.

HOW TO ENTER: There are two methods of entry.

1. Register for one of the PGM Webinars (“Welcome” webinar on June 16, 2022 at 11am MT, “Prep” webinar on June 28, 2022 at 11am MT, or “Marketing” webinar on July 7, 2022 at 11am MT) via the registration form Xero will send to you via email , select the box in the registration form agreeing to enter this Draw, and attend the full webinar.

2. Alternatively, to enter you may email uspartnermarketing@xero.com stating that you wish to be entered into the Drawing (the effective time and date for an email entry in order to be eligible is the date and time of receipt of the email by Xero).

Limit of one (1) entry per person, per webinar.

DETERMINATION OF WINNER: One (1) Prize winner will be selected in a random drawing from all eligible entries after the Term, as announced by Xero personnel.

PRIZE: The prize is one (1) ticket to Xerocon to be held in New Orleans, USA August 24-25, 2022 (approximate value of USD$499) (the “Prize”). The Prize may not be assigned, transferred, or changed. The Prize is not redeemable for cash. You are responsible for payment of any and all taxes, duties or similar fees which may apply to your receipt of the Prize. Receipt of the Prize is contingent upon the winner’s full compliance with these Official Rules. If requested by Xero, the Prize winner will be required to complete and return a release form within seven (7) days of such request. The winner agrees that if they fail to provide proof of identity, fail to complete the release form or any requested tax forms (including, without limitation, an IRS W-9 form), is found to have violated these Official Rules, or otherwise does not meet the eligibility criteria in these Official Rules, the Prize will be forfeited. The odds of winning depend on the number of eligible entries received. The Winner will be notified by Xero using the email address provided in the webinar registration form. To receive a Prize, a Winner will be required to reply to Xero’s message, confirming their full physical mailing address, and phone number within seven (7) days from the date on which Xero first notifies them by email. If the Winner cannot be contacted or does not respond within seven (7) days of notification, the Winner may be disqualified and will forfeit their Prize, and an alternate Winner may, in Xero’s sole discretion, be selected from the remaining eligible entries.

PUBLICITY: Except where prohibited, by accepting the Prize, recipients agree that Xero and its affiliates may, without any limitation or further compensation or notice, use your name, voice and/or likeness in any and all media, worldwide, for the purpose of advertising and promoting Xero and its products and services, the Drawing, or any other promotion or contest sponsored by Xero.

DISPUTE RESOLUTION; CLASS ACTION WAIVER; WAIVER OF JURY TRIAL: By participating in a drawing, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules are governed by and construed exclusively in accordance with the laws of the State of Colorado without giving effect to any principles of conflicts of law of any jurisdiction. You agree that any action at law or in equity arising out of or relating to a Drawing, or awarding of the Prizes, shall be filed only in the state or federal courts located in City and County of Denver in the State of Colorado, and you hereby irrevocably consent and submit to the exclusive jurisdiction of such courts for the purposes of litigating any such action. FURTHERMORE, ENTRANTS EACH AGREE THAT IN CONNECTION WITH ANY DRAWING OR THESE OFFICIAL RULES: (A) ANY AND ALL DISPUTES SHALL BE BROUGHT IN ENTRANT'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, AND (B) ENTRANT WAIVES THE RIGHT TO A TRIAL BY JURY.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY: TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, XERO AND ITS AFFILIATES DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. UNDER NO CIRCUMSTANCES WILL XERO OR ANY OF ITS AFFILIATES BE LIABLE FOR, AND YOU WAIVE ANY AND ALL RIGHTS TO CLAIM DAMAGES OF ANY KIND ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE DRAWING OR THE AWARDING OF A PRIZE, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES.

REPRESENTATIONS AND WARRANTIES OF ENTRANT/INDEMNIFICATION: By participating in the Drawing, you agree to indemnify and hold Xero and its affiliates harmless from and against any and all claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of your warranties, representations or agreements hereunder, and your acceptance of the Prize.

PRIVACY: By entering the Drawing, you agree to our use of your personal information and any data collected subject to the terms of Xero’s Privacy Notice.

XERO’S RIGHT TO MODIFY, SUSPEND OR TERMINATE: If Xero is prevented from holding the Drawing as a result of any event beyond its reasonable control, then Xero shall have the right in its sole discretion to reschedule or cancel the Drawing.

GENERAL PROVISIONS: Xero reserves the right in its sole discretion to disqualify any individual who Xero, in its sole discretion, determines has interfered with the entry process or the operation of the Drawing, acted in violation of these Official Rules or submitted responses dishonestly or inaccurately. Xero’s failure to enforce any term of these Official Rules, or any right or remedy, shall not constitute a waiver of that or of any other provision, right, or remedy. Xero’s rights and remedies under these Official Rules are cumulative and are without prejudice to any other rights and remedies of Xero or any of its affiliates under contract, at law, or in equity.
