SMS Invoicing Terms

If you are located in the United States, these terms apply to your use of the SMS Invoicing feature (feature).

Introduction
These are your legal rights and obligations, so please read everything. If you use this feature, we’ll assume that you agree to these terms.
These terms incorporate, and are in addition to, the Xero terms of use that apply to your use of our services generally.
When we say you or your, we mean both you and any entity or firm you’re authorized to represent. When we say Xero, we, our or us, we’re talking about Xero, Inc. When we say recipient, we mean the customer who you are sending an SMS or MMS to via the feature (each, a message).

Use of the feature
- Compliance: By accessing or using the feature, you represent and warrant that you will comply with (i) all laws and regulations applicable to the transmission of any message to any recipient (including the Telephone Consumer Protection Act and related federal and state laws and regulations); and (ii) applicable industry guidelines and third-party policies (including the CTIA Short Code Monitoring Program Handbook and the CTIA Messaging Principles and Best Practices).
- Notice and consent: You must obtain consent from the recipient to receive a message to the phone number they provide to you. You must also provide all required notices to recipients and offer each recipient the ability to opt out of receiving future messages from you.
- Reassigned numbers: Before sending a message, you must check the recipient’s phone number against the Federal Communications Commission’s Reassigned Numbers Database to confirm the number has not been reassigned.

5. Privacy Policy: You must have, and make accessible to the recipients, a privacy policy that explains how you're using customer phone numbers for these messages.
6. Terms and Conditions: You must have terms and conditions that cover (i) who you are (your brand or business); (ii) what kind of messages you'll be sending; (iii) that the frequency of messages might vary; (iv) that customers can text "HELP" for help and “STOP” to stop receiving messages; and (v) notice that standard message and data rates might apply, and that phone carriers aren't responsible for delays or failed deliveries.
Records and license
7. Records: During your use of the feature, and for 5 years following, you will maintain the following records in an electronic format: (i) the name and phone number of recipients who you sent a message, (ii) the time, date, and method of the recipients’ opt-in consents (iii) the disclosure language that was provided to the recipients when you obtained their opt-in consent, and (iv) the time, date, and method of any request from recipients to opt out of receiving messages (thefeature records). You will provide the feature records to us in an electronic format immediately upon request.
8. License: you retain all right, title, and interest in the records you provide to us. You grant us a license to use, copy, store, transmit, distribute, perform and display (including publicly), modify, and create derivative works of the (i) feature records and (ii) any other record of messages transmitted on your behalf that is stored in connection with the feature, each for purposes of (a) investigating, responding to, or defending ourselves against alleged or potential violations of applicable laws, (b) enforcing the terms, and (c) complying with applicable law.
