Incentive Terms and Conditions
The following terms and conditions apply to Your participation in the H&R Block Summer Camp Campaign, and by participating in the H&R Block Summer Camp Campaign, you agree to these terms and conditions. The H&R Block Summer Camp Campaign is an Incentive program for new clients which subscribe to the Xero Services. If You are a Xero Partner and also a H&R Block Franchisee, you may qualify for an incentive payment of fifty dollars (US$50) for each new Qualifying Client (as defined below) added between July 1, 2018 and September 30, 2018, Xero, Inc. (“Xero”) (the “Incentive”), subject to the following terms and conditions:
Who is Eligible for a Incentive?
In order to qualify for the Incentive, You must opt-in to participate in the H&R Block Summer Camp Campaign between July 1, 2018 and September 30, 2018, and meet all of the following requirements:
A. You are an owner of a H&R Block Franchise (“H&R Block Franchisee”);
C. As a Xero Partner, you have added at least twenty-five (25) net new clients which subscribe to the Xero Service (i.e. Ledger, Cashbook, or any Business Edition of Xero) within Your subscription to the Xero Services between July 1, 2018 and September 30, 2018 (each such client referred to as a “Qualifying Client” and collectively, the “Minimum Qualifying Clients”). Your clients who already subscribe to the Xero Services, or which have previously subscribed to the Xero Services, prior to July 1, 2018 shall not count toward this Minimum Qualifying Clients requirement; and
Xero will determine your qualification at its sole discretion, and such determination will be final and binding on all matters relating to this Incentive.
How will I be reimbursed?
If Xero determines that You meet all requirements set forth above and qualify for the Incentive, Xero will make such verified Incentive payments for the Qualifying Clients via check or ACH following validation of your bank account information.
The value of the Incentive may be taxable as income and taxes on the Incentive are Your sole responsibility.
Xero’s Right to Modify, Suspect or Termination
In the event Xero is prevented from continuing with the Incentive for any reason, then Xero shall have the right in its sole discretion to modify, suspend, or terminate the H&R Block Summer Camp Campaign, including the Incentive. Xero reserves the right in its sole discretion to disqualify any individual or entity who is found to be tampering with the eligibility process or the operation of the Incentive, to be acting in violation of these terms and conditions, to be acting dishonestly or inaccurately, or to be acting in an unsportsmanlike or disruptive manner. Xero’s failure to enforce any of these terms and conditions shall not constitute a waiver of all or part of these terms and conditions.
Disclaimers and Limitations on Liability
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, XERO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS H&R BLOCK SUMMER CAMP CAMPAIGN OR INCENTIVE SHALL BE LIMITED TO OUT OF POCKET COSTS WHICH CONSTITUTE DIRECT DAMAGES UP TO US$1250. UNDER NO CIRCUMSTANCES WILL XERO BE LIABLE FOR, AND YOU WAIVE ANY AND ALL RIGHTS TO CLAIM, DAMAGES OF ANY KIND ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS H&R BLOCK SUMMER CAMP CAMPAIGN OR INCENTIVE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, DAMAGES MULTIPLIERS, AND ANY OTHER DAMAGES.
CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
